Terms of Business
Where
- 'You' and 'your' refers to the individual or organisation purchasing products or services from CA Llewellyn Ltd. trading as Inspiring Change.
- 'We' and 'our' refers to CA Llewellyn Ltd. trading as Inspiring Change, registered office Acre House, 11-15 William Road, London NW1 3ER.
- We will not disclose without your prior written permission any confidential information relating to you which we have acquired while providing our services, and which is not already in the public domain.
- You agree to treat as confidential and not disclose to any third party without our prior written permission any programmes, methods, procedures, data and techniques used by us, unless they are already publicly available.
- Any material written or upgraded for your specific use will also be treated as confidential and will not be disclosed to any other part or division of your organisation without our prior written consent. Such consent will not be reasonably withheld.
Ownership
- All rights of copyright and other proprietary rights and protection covering or capable of being obtained to cover the methodology, form and structure of all reports and other documents and material (whether written or machine readable) including any computer software produced by us shall remain vested in us. You may not use any of the above for resale in any form.
- Any postponement of dates solidly booked will not incur fees if prior mutual agreement has been reached.
- Where you find it necessary to postpone our services in whole or in part without prior mutual agreement, the following cancellation fees will be due:
- where less than three working days notice is given, 100% of the fee for that part of the services
- where more than three and less than twenty working days notice is given, 60% of the fee for that part of the services
- where more than twenty and less than sixty working days notice is given, 40% of the fee for that part of the services
- where more than sixty and less than one hundred working days notice is given, 25% of the fee for that part of the services
- where one hundred or more working days notice is given, 10% of the fee for that part of the services
- If the services are postponed for a period of 60 working days or more other than by agreement, they shall be deemed to have been cancelled by you and further work will require a re-brief and possibly re-pricing.
Materials
- We will provide materials as required for workshops and consultancy sessions.
References & testimonials
- We will only use your name, individual testimonials and case histories in any literature describing our services with your prior consent.
Payment
- We will invoice you monthly for work completed that month.
- Payment is due within 30 days of invoice date.
- We may choose to charge interest at standard rates for late payments.
